Terms & Conditions

The terms that apply when you use our website or hire us for a project. Simple and fair.

Last updated: 31 October 2026

1. About these terms

These Terms & Conditions ("Terms") apply when you use www.futurebytes.in (the "Website") and when you hire FutureBytes ("we", "us" or "our") for web design, development or related services (the "Services").

By using the Website or the Services, you agree to these Terms. If you do not agree, please do not use them. If a signed proposal, quotation or contract for your project says something different, that document takes priority for your project.

2. Using the Website

You agree not to:

  • use the Website for anything unlawful or fraudulent;
  • try to gain unauthorised access to the Website, its servers or any related systems;
  • upload or send malware, spam or harmful code;
  • copy, scrape or reuse the Website's design, code or content without our written permission.

The content on the Website is for general information. We try to keep it accurate and up to date, but we do not promise that it is complete or error-free.

3. Quotes and proposals

Before a project starts, we send a written quote or proposal that sets out the scope, deliverables, timeline and price. Unless it says otherwise, a quote is valid for 30 days. A project starts once you accept the quote in writing (WhatsApp or email is fine) and pay any advance we ask for.

4. Payments

  • Unless agreed otherwise, we ask for an advance before work begins and the balance before the final website or files are handed over or go live.
  • Prices are in Indian Rupees (INR) unless stated otherwise, and applicable taxes are added on top.
  • Invoices are due on the date shown on them.
  • If a payment is late, we may pause work, delay delivery or temporarily suspend hosted services.
  • Third-party costs such as domains, hosting, premium plugins, fonts, stock images or paid APIs are billed separately unless they are included in your quote.

5. Your responsibilities

To keep your project on schedule, you agree to:

  • send us content (text, images, logos, product details) and feedback on time;
  • make sure you own, or have permission to use, everything you send us;
  • make sure your business, content and website follow the laws that apply to you;
  • keep your account passwords, domain and hosting logins safe.

Delays in content, feedback or approvals may push back the timeline. If a project stays on hold for more than 60 days because we are waiting on you, we may treat it as finished and bill for the work done so far.

6. Revisions and changes in scope

Your quote includes a set number of revision rounds. Changes outside the agreed scope, such as new pages, features or a redesign after approval, will be quoted separately. They may also change the timeline.

7. Ownership and intellectual property

  • Once you have paid in full, you own the final design and the custom code we wrote for your project. Until then, everything we created remains ours, and if payment is not made we may withhold or disable the work.
  • Open-source libraries, frameworks and third-party assets stay under their own licences. Our reusable tools, components and know-how stay ours, but you get a permanent licence to use them as part of your website.
  • You keep full ownership of all content, logos and materials you give us.
  • Unless you ask us not to, we may show your project in our portfolio and marketing, and include a small "built by" credit in the website footer.

8. Delivery, acceptance and handover

  • When the work is ready, we share it with you for review. The project is treated as accepted when you approve it, when it goes live, when you start using it, or 7 days after delivery if you have not reported any problems in writing, whichever comes first.
  • Handover happens when we give you the final website, source code, files and/or login details (admin panel, hosting, domain, database or other accounts), or when the website goes live on an account you control.
  • After handover, you must change all passwords we shared with you, remove any access we no longer need, and keep your own backups.

9. Responsibility after handover

Once a project is handed over, you have full control of the website and full responsibility for it. Unless you have a separate, paid maintenance or hosting plan with us that says otherwise, FutureBytes is not responsible or liable for:

  • how you, your staff, contractors or users use, run, change or promote the website;
  • any content, products, services, offers, prices, claims or information published on the website, by you or anyone else;
  • any personal data, payments, orders, bookings or other information collected, stored or processed through the website;
  • whether your business, website or content complies with the law, including privacy, consumer protection, e-commerce, advertising, tax (including GST) and industry-specific rules;
  • any change, update, plugin, theme, integration or code added or altered by you or a third party, and any problem it causes;
  • hacking, malware, data breaches, spam, defacement, data loss or downtime that happens after handover, including because of weak or shared passwords, missing updates or missing backups;
  • expiry, suspension or loss of your domain, hosting, email, SSL certificate or any other third-party account or subscription, including because a renewal was not paid;
  • changes made by browsers, operating systems, search engines, hosting providers, payment gateways or other third-party services that affect how the website works or ranks;
  • any dispute, complaint or claim between you and your customers, users, partners or any authority.

Any help we give after handover and outside the warranty period, including advice, fixes or updates, is a new piece of work and may be billed separately.

11. Hosting, maintenance and support

Hosting, maintenance and ongoing support are only included if your quote or a separate plan says so, and only for the period and scope written there. Websites hosted on third-party platforms are also subject to those providers' terms and uptime. We are not responsible for outages, data loss or changes caused by third-party providers.

After launch, we fix bugs in the work we delivered free of charge for the warranty period stated in your quote. If no period is stated, it is 15 days from handover. This warranty does not cover problems caused by changes made by you or others, third-party services or updates, misuse, or new requirements. New features and updates are billed separately.

12. Third-party services

Your website may use third-party products and services, such as hosting, domains, email, payment gateways, maps, analytics, plugins, fonts, APIs and WhatsApp or social media integrations. These are provided by other companies under their own terms and prices, which may change at any time. We do not control them and are not responsible for their availability, pricing, security, data handling or any loss they cause.

13. Cancellation and refunds

  • Either side can cancel a project by giving written notice.
  • If you cancel, you pay for the work done up to that point. Advance payments cover planning and the time we have set aside for you, so they are not refundable once work has started.
  • If we cancel for reasons that are not your fault, we will refund any amount you paid for work we have not yet done.
  • Money spent on third-party services for your project cannot be refunded.

14. Results and disclaimer of warranties

We build every project carefully and follow current best practice. However, we cannot promise particular business results, such as search rankings, traffic, leads, sales or return on investment, because these depend on things outside our control.

Apart from what is written in your quote, the Website and Services are provided "as is" and "as available", to the extent the law allows. We do not promise that any website or software will be error-free, uninterrupted, completely secure or compatible with every device, browser or future update, and we exclude all implied warranties, including fitness for a particular purpose.

15. Limitation of liability

To the fullest extent the law allows:

  • we are not liable for any indirect, incidental, special, punitive or consequential loss, such as lost profits, revenue, data, customers, goodwill or business opportunities, even if we were told it might happen;
  • our total liability for all claims about a project, whatever the cause, is limited to the fees you actually paid us for that project in the 6 months before the claim arose;
  • any claim against us must be made in writing within 6 months of handover, or of the event that caused it if that is later. Claims made after that time are waived.

Nothing in these Terms limits liability that cannot be limited by law.

16. Indemnity

You agree to defend and indemnify FutureBytes, its owners, team members and contractors, and to cover any losses, damages, fines, penalties, costs and reasonable legal fees, arising from any claim, complaint or action related to:

  • content, materials, data or instructions you gave us;
  • your website, business, products or services, and how they are used after handover;
  • personal data or payments collected or processed through your website;
  • your breach of these Terms or of any law;
  • changes made to the website by you or anyone other than us.

17. Events outside our control

We are not responsible for delays or failures caused by events outside our reasonable control. These include natural disasters, floods, pandemics, power or internet outages, government action, strikes, cyber-attacks, illness, and failures of third-party providers. If such an event happens, timelines are extended for as long as it lasts.

18. Our team

During a project and for 12 months after it ends, you agree not to directly hire or engage our team members or contractors who worked on your project without our written consent.

19. Confidentiality

We keep your business information, logins and unpublished project details confidential. We only use them to deliver your project, unless the law requires us to share them. Our Privacy Policy explains how we handle personal information.

20. Governing law and disputes

These Terms are governed by the laws of India, wherever you are located. If a disagreement comes up, we will both first try to settle it through good-faith discussion for at least 30 days after one side raises it in writing. If that does not work, the courts of Kerala, India will have exclusive jurisdiction.

21. General

  • Whole agreement. These Terms, together with your accepted quote or proposal, are the full agreement between us about the project. They replace any earlier discussions or promises.
  • Written communication. Agreements, approvals and notices sent by WhatsApp or email count as "in writing" and are valid electronic records under the Information Technology Act, 2000.
  • Independent contractor. We work as an independent business. Nothing in these Terms makes us your partner, employee, agent or joint venture.
  • Severability. If any part of these Terms is found invalid or unenforceable, the rest still applies.
  • No waiver. If we do not enforce a right straight away, we have not given it up.
  • Transfer. You may not transfer your rights or duties under these Terms without our written consent.
  • Survival. Sections about payment, ownership, responsibility after handover, legal obligations, liability, indemnity, confidentiality and governing law continue to apply after a project ends or is cancelled.

22. Changes to these terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page. Projects that have already started stay under the Terms that applied when you accepted the quote, unless we both agree otherwise.
